Description

  • Draft, review, redline, and negotiate agreements including MSAs, NDAs, DPAs, SOWs, and SaaS agreements.
  • Review, negotiate, and manage SLED agreements from intake through signature, including customer terms, award documents, exhibits, addenda, and required forms.
  • Identify and resolve public sector contracting issues such as required clauses, certifications, insurance, and data/privacy/security requirements.
  • Develop and standardize SLED contracting playbooks, templates, and intake and triage processes.
  • Own the Legal portion of RFP and RFI responses, including intake, project planning, deadline management, drafting legal language, and coordinating inputs.
  • Build and maintain reusable response assets such as standard language, exception positions, and review checklists.
  • Support channel sales by negotiating reseller agreements and resolving customer-facing contracting issues.
  • Support renewal execution by triaging customer terms, resolving PO versus quote conflicts, and ensuring clean documentation and order mechanics.
  • Improve renewal workflows, including templates, approval paths, escalation rules, and renewal hygiene practices.
  • Contribute to additional Legal priorities such as insurance program support, intellectual property intake and coordination, and other operational responsibilities.

Requirements

  • Experience supporting public sector contracting, especially SLED, and navigating procurement-driven customer terms.
  • Experience supporting RFP responses, including drafting legal sections and managing deadlines across stakeholders.
  • Working knowledge of renewal contracting workflows, including auto-renewal language, notice timing, PO term conflicts, and order or quote mechanics.
  • Demonstrated ability to build and improve contracting processes, templates, playbooks, workflows, and intake or triage systems.
  • Strong project management skills, attention to detail, and clear, practical communication skills.
  • Familiarity with common SLED procurement vehicles and post-award modifications.
  • Experience improving contracting operations, including clause libraries, CLM, and intake workflows.
  • Understanding of revenue impact, deal structure, and pricing terms.
  • Experience with CLM platforms such as Salesforce.
  • Familiarity with AI-enabled tools for contract review, redlining, and workflow automation.
  • Strong working knowledge of Microsoft 365, Slack, Adobe, and similar collaboration and document tools.
  • Experience supporting channel sales and negotiating reseller and distributor agreements.
