Description

  • Develop a deep understanding of the company’s business, strategy, policies, and culture to provide legal support for clients, offerings, and strategic relationships.
  • Draft, review, and negotiate SaaS and other license agreements, master services agreements, statements of work, Business Associate agreements, and vendor/client agreements.
  • Advise on contract interpretation, obligations, risk exposure, dispute resolution, and related legal matters with practical business-oriented guidance.
  • Collaborate with stakeholders across the company to support business growth while managing legal risk.
  • Assist with deal documents and diligence for financing and M&A transactions.
  • Consult with and manage outside counsel as needed.
  • Keep the VP of Legal informed on active negotiations and agreement developments.
  • Support healthcare partner transactions involving innovative agreement structures.

Requirements

  • Minimum of 5 years of relevant experience as a healthcare transactional attorney in a law firm or in-house environment.
  • In-house experience at a healthcare technology company preferred.
  • OIG compliance experience ideal.
  • Working knowledge of the healthcare legal framework, including federal Anti-Kickback, Stark, and corporate practice of medicine laws.
  • Knowledge of fraud, waste, and abuse regulations, as well as privacy and security laws including HIPAA and HITECH.
  • Comfortable performing substantial drafting, including drafting documents from scratch, and reviewing and negotiating agreements.
  • Working knowledge of IP concepts and SaaS and data licensing agreements preferred.
  • Experience drafting Business Associate Agreements preferred.
  • Ability to build strong relationships with internal and external stakeholders and maintain positive client experiences.
  • J.D. degree and license to practice law in the United States; member in good standing of at least one State Bar.
