Description

  • Design realistic transactional deal scenarios involving M&A due diligence, SPAs, APAs, securities filings, NDAs, governance, and disclosure schedules.
  • Draft attorney-level gold standard responses to support AI model training.
  • Evaluate and grade AI-generated outputs using structured rubrics and legal and commercial standards.
  • Provide detailed written feedback to improve model accuracy, reasoning, and consistency.
  • Participate in onboarding sessions, office hours, and specialty calibration discussions.
  • Support the development of high-quality legal reasoning data for next-generation AI systems.

Requirements

  • 1–4 years of professional experience in transactional or corporate law in a law firm, in-house, or similar environment.
  • A J.D. (U.S./Canada) or LL.B./LL.M. (U.K.) from an accredited institution.
  • Licensed to practice law in the United States, Canada, or the United Kingdom, active or inactive.
  • Strong experience in contract review, due diligence, corporate governance, NDA drafting, or securities filings.
  • Excellent written communication skills with strong attention to detail.
  • Ability to commit at least 20 hours per week, with 40+ hours preferred.
  • Open to candidates based in the United States, Canada, or the United Kingdom.
  • Experience preparing disclosure schedules or managing closing checklists is preferred.
  • Exposure to private equity, venture capital, or fund formation work is preferred.
  • Familiarity with SEC reporting, securities offerings, or virtual data rooms such as Intralinks or Datasite is preferred.
