Description

  • Draft and prepare corporate legal documents such as board and shareholder resolutions, minutes, powers of attorney, officer certificates, and corporate authorizations.
  • Maintain minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities.
  • Keep entity information accurate and up to date in internal systems.
  • Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
  • Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings.
  • Manage execution, notarization, apostille, and legalization of documents as required.
  • Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities.
  • Coordinate signatures and manage document circulation and approval workflows.
  • Assist Legal Counsel with legal research, document organization, and preparation of reports or internal summaries.

Requirements

  • Diploma or certificate in Paralegal Studies, or equivalent professional experience.
  • Ontario Paralegal License (P1) for Ontario candidates only.
  • 2+ years of experience in corporate law, legal operations, or in-house legal support.
  • Strong knowledge of corporate governance, entity maintenance, and multi-state filings.
  • Excellent drafting skills, strong organization, and meticulous attention to detail.
  • Proficiency in Microsoft Office and legal/document management tools.
  • Experience working with multinational entities across regions such as Canada, Europe, the Middle East, or APAC is preferred.
  • Experience in technology, SaaS, or private-equity-backed organizations is preferred.
  • Bilingual English/French is considered an asset.
