Description

  • Draft, review, and negotiate commercial agreements including NDAs, software licenses, SaaS and subscription agreements, vendor contracts, reseller agreements, and strategic partnerships.
  • Advise on complex commercial deal structures such as usage-based pricing, overage and true-up mechanics, renewal pricing tiers, and multi-year enterprise arrangements.
  • Use AI tools in a legal context to improve drafting, review speed, issue spotting, and prompt iteration while critically evaluating outputs.
  • Advise business teams on intellectual property, open source licensing, contributor license agreements, corporate governance, commercial law, data privacy, export controls, sanctions, and product security regulation.
  • Support the development, deployment, and governance of AI tools used in products and internal business systems.
  • Draft acceptable use policies and review AI vendor and model provider agreements.
  • Evaluate AI-generated code disclosure, provenance obligations, and AI-related customer questionnaires.
  • Partner with engineering and security teams on AI-assisted development policies, code attribution, license audit readiness, and upstream contributor compliance.
  • Support incident response, regulatory inquiries, and customer audits.
  • Create and maintain contracting, licensing, AI governance, and compliance playbooks, templates, and self-service resources to scale legal support across the business.

Requirements

  • 8+ years of experience in the responsibilities above or a similar in-house role.
  • Experience at an enterprise software, open source, or infrastructure software company is a strong plus.
  • J.D. degree and active California law license.
  • Working knowledge of open-source licensing models and their commercial implications.
  • Familiarity with AI/ML concepts sufficient to identify issues around output ownership, indemnification, and agentic system risks.
  • Ability to work across engineering, product, marketing, sales, finance, human resources, and IT teams and translate legal concepts for technical and non-technical audiences.
  • Strong attention to detail, independent judgment, teamwork, and excellent organizational skills.
  • Ability to manage a high-volume contracts pipeline without dropping threads.
  • Willingness to learn and adapt to fast-moving regulatory areas including AI, privacy, cybersecurity, and export controls.
  • Availability for early morning and late-evening calls with international counsel, customers, and overseas teams across EMEA and APAC.
