Description

  • Own and drive Marqeta's quarterly and annual SEC reporting cycle, including 10-K, 10-Q, and 8-K filings.
  • Serve as a primary author and coordinator of the annual proxy statement and related shareholder meeting materials.
  • Draft, review, and coordinate Form 8-K filings for material corporate events.
  • Oversee Section 16 reporting obligations for executive officers and directors.
  • Support the Disclosure Committee by coordinating cross-functional review and certification processes.
  • Monitor SEC rulemaking, NYSE listing standards, and proxy advisory guidance that affect disclosure obligations.
  • Support the Board of Directors and its committees by preparing materials, drafting minutes, and maintaining board records.
  • Manage corporate governance formalities, including director questionnaires, annual certifications, committee charters, and board policies.
  • Administer and enforce insider trading policies, including trading windows, pre-clearance, blackout periods, and insider designations.
  • Support corporate transactions and other general corporate matters, including equity offerings, reverse stock splits, indemnification agreements, and subsidiary governance.

Requirements

  • J.D. degree and active membership in good standing in at least one U.S. state bar, with California or New York preferred.
  • 10–15 years of legal experience with a meaningful focus on public company securities, SEC disclosure, and corporate governance.
  • Hands-on experience drafting SEC filings, including proxy statements, 10-Ks, 10-Qs, and 8-Ks.
  • Experience supporting a public company board of directors and its committees, including preparation of materials and minutes.
  • Strong working knowledge of insider trading rules, Section 16 compliance, and equity compensation disclosure.
  • Top law firm experience preferred.
  • In-house experience at a public company in a corporate or securities function required.
  • Ability to operate independently, manage multiple time-sensitive workstreams, and escalate appropriately in a lean team environment.
  • Excellent written communication skills for drafting for directors, executives, and the investing public.
  • Experience at a FinTech, payments, or technology company is a plus.
  • Delaware corporate law depth, including certificate of incorporation and bylaw matters, director fiduciary duties, and stockholder rights, is a plus.
  • Prior experience with proxy advisory firms such as ISS and Glass Lewis is a plus.
  • Experience with Diligent Boards or similar board portal platforms is a plus.

  • Base salary range of $239,200–$299,000 for National, $250,000–$312,600 for Premium, and $261,000–$326,200 for Premium Plus locations.
