Description

  • Draft, review, and negotiate a broad range of commercial contracts.
  • Lead the structuring and negotiation of credit facilities, loan agreements, and customer financing arrangements.
  • Analyze contract terms to identify legal, financial, and operational risks and provide mitigation guidance.
  • Ensure lending documentation complies with federal and state financial regulations, including consumer and commercial lending laws.
  • Develop and maintain standardized contract templates and negotiation playbooks.
  • Advise internal stakeholders across Sales, Underwriting, HR, Major Accounts, Equipment Finance, and Operations on contractual rights and obligations.
  • Manage the contract lifecycle from initial request through execution and renewal.
  • Monitor legal and regulatory changes affecting company agreements and business activities.
  • Support general legal advice, compliance initiatives, and other projects assigned by the General Counsel.
  • Assist with offensive and defensive litigation, including financing disputes, bankruptcy matters, and contract disputes.

Requirements

  • Juris Doctor (JD) with excellent academic and professional credentials.
  • Active membership in good standing with the New York, Virginia, or California bar, or eligibility for in-house counsel admission or waiver to New York or Virginia.
  • 5+ years of experience with exposure to financial services through corporate, regulatory, insolvency, or litigation work.
  • Strong experience with secured and unsecured lending, UCC filings, and debt recovery processes, including litigation.
  • Excellent drafting skills with the ability to translate complex legal and financial concepts into clear business terms.
  • Strong negotiation skills and the ability to maintain professional relationships with external counsel and major account representatives.
  • Strong oral and written communication skills, plus excellent presentation and training skills.
  • Ability to work independently, adapt in a growing company, and manage multiple projects in a fast-paced environment.
  • Ability to make decisions and provide advice in evolving or unclear regulatory environments.
  • Judicial clerkship experience is a plus.
