Description

  • Work closely with internal sales teams, vendors, and customers to mitigate legal and commercial risk.
  • Draft, review, and negotiate a variety of contracts, including hardware, software, professional services, subcontractor, nondisclosure, and vendor agreements.
  • Lead contract negotiations with sophisticated counterparties.
  • Propose and help develop tools that improve contractual processes and documentation.
  • Train and manage lawyers.
  • Manage outside counsel as assigned or needed.
  • Manage and respond to contract-related disputes with opposing parties.
  • Create and update contract templates and related processes as necessary.
  • Assess and minimize sources of risk, including escalating issues when appropriate.
  • Perform other job duties as assigned.

Requirements

  • Juris Doctor degree.
  • Member in good standing of a state bar.
  • At least 5 years of legal experience.
  • Experience in a contracts group, as in-house counsel, or in corporate law.
  • Experience managing people.
  • Experience in commercial contract negotiation, government contracts, data security, or litigation preferred.
  • Experience drafting and reviewing a broad range of commercial contracts, with a focus on technology contracts.
  • Ability to manage high volumes and multiple projects while making timely decisions.
  • Strong analytical, verbal, and written communication skills.
  • Excellent business judgment, attention to detail, and self-motivation.
