Description

  • Serve as commercial counsel for client, vendor, and general commercial contracts from inception through execution.
  • Review, draft, and negotiate a wide range of commercial agreements, including MSAs, software licenses, SOWs, DPAs, professional services agreements, and procurement contracts.
  • Provide practical, risk-aligned legal guidance that helps the business move deals forward efficiently.
  • Collaborate closely with internal stakeholders to understand business goals and support deal execution.
  • Apply legal playbooks and templates while determining when custom structuring is needed.
  • Triaging and manage contract requests and approvals through Ironclad and other contract workflow processes.
  • Escalate contract issues to the appropriate stakeholders and help streamline intake, approval, and closing workflows.
  • Build and continuously improve commercial legal operations through playbooks, templates, processes, and internal training.
  • Develop a deep understanding of Wpromote’s services and offerings to better support cross-functional teams.

Requirements

  • J.D. degree with solid academic credentials and an active state bar membership.
  • 3 to 5 years of transactional experience at a law firm and/or in-house.
  • Preferred experience in marketing, advertising, data, AI, intellectual property, or privacy.
  • Experience negotiating fast-moving, complex deals with strong analytical judgment and high EQ.
  • Experience with Ironclad or a similar contract lifecycle management (CLM) platform.
  • Comfort working with privacy, security, and data-use terms, including DPAs and information security exhibits.
  • Strong communication skills with the ability to translate complex legal and risk concepts into clear guidance for non-lawyers.
  • Ability to independently drive matters quickly from start to finish.
  • High standards for work quality and a collaborative, knowledge-sharing approach to team development.
  • Curiosity about the business and willingness to work cross-functionally beyond traditional legal responsibilities.
  • Desire to learn new products, AI and data issues, and evolving areas of law with a low-ego, entrepreneurial mindset.
  • Prior in-house experience at a digital marketing agency, Ad/MarTech provider, or technology/AI company is preferred.
  • High-growth company experience is a plus.
  • This position is not eligible for immigration sponsorship.
