Description

  • Serve as commercial counsel for vendor and general commercial contracts from intake through execution.
  • Review, draft, and negotiate commercial agreements such as MSAs, software licenses, SOWs, data protection agreements, and professional services agreements.
  • Advise on SaaS, data, auto dealer software, and other third-party agreements with practical, risk-aligned guidance.
  • Collaborate with Procurement, Third-Party Risk Management, Information Security, Product, Finance, Sales, and other internal teams.
  • Build a strong understanding of Upstart’s products and vendor ecosystem to support business goals.
  • Drive efficient deal flow by triaging and managing contract tickets in tools such as Zip and Ironclad.
  • Escalate issues to the appropriate stakeholders and help streamline intake, approvals, and closing processes.
  • Create and improve playbooks, templates, and training to scale the commercial legal function.
  • Support the Lending Partnerships team for a meaningful portion of the role.
  • Help resolve complex privacy, security, and data-use issues in coordination with subject-matter experts.

Requirements

  • J.D. degree with solid academic credentials and an active state bar membership; NY or CA bar preferred.
  • 5+ years of transactional experience at a law firm and/or in-house, focused on technology and commercial contracts.
  • Experience reviewing, drafting, and negotiating complex SaaS and technology/data agreements.
  • Experience working in a regulated industry or contracting with regulated financial institutions is preferred.
  • Ability to negotiate fast-moving, complex deals and build consensus under timing pressure.
  • Comfort working with privacy, security, and data-use terms, including DPAs and information security exhibits.
  • Strong analytical judgment and high EQ when handling tricky commercial issues.
  • Ability to solve issues end to end, move quickly, and take ownership of matters.
  • High standards for work product and a preference for working in a similarly high-performing environment.
  • Prior in-house experience at a fintech, financial services, or technology company is preferred, with startup or high-growth experience a plus.
  • Experience leading and closing complex commercial negotiations is preferred.
  • Strong communication skills and the ability to translate legal and risk concepts for non-lawyers.
  • Curiosity about Upstart’s business and willingness to work cross-functionally outside traditional legal boundaries.
  • Interest in mentoring teammates and helping build scalable processes over time.
  • Eagerness to work on new products, AI and data issues, and unfamiliar legal areas with a solutions-oriented mindset.
  • Entrepreneurial drive and comfort with ambiguity.

  • Base salary range of $152,000 to $210,400 USD for U.S. remote roles.
