Description

  • Review and negotiate commercial terms in client contracts, supply agreements, service agreements, and purchase order terms.
  • Provide commercial review of EPC flow-downs and compliance exhibits for Solar, BESS, and motor drive system deals.
  • Identify and assess contractual risks related to warranty, performance guarantees, liquidated damages, and other commercial terms.
  • Coordinate with sales, engineering, project management, procurement, finance, and legal during contract negotiations.
  • Develop risk assessment tools to evaluate commercial contractual risk against business unit guidelines.
  • Analyze contract terms and conditions to ensure alignment with approved templates or prior transaction documents.
  • Maintain contract documentation and records in contract management systems.
  • Support complex negotiations for capital goods, industrial equipment, and services as needed.
  • Advise commercial leadership on contractual terms and associated risk exposure as needed.
  • Collaborate with legal and business unit leadership to resolve complex contractual matters.

Requirements

  • Bachelor’s degree in business, engineering, supply chain, legal studies, or a related field, or equivalent education and/or experience.
  • 3 years of experience in contract negotiations or commercial administration in a corporate or legal environment.
  • Experience working in industrial equipment, energy, or power systems industries.
  • Advanced understanding of commercial contract terms and risk allocation.
  • Strong negotiation, written, and verbal communication skills.
  • Excellent attention to detail and organizational skills.
  • Ability to manage multiple contracts simultaneously.
  • Proficiency in Microsoft Office Suite.
  • Strong analytical and problem-solving skills.
  • Availability to travel domestically and internationally up to 20%, sometimes with limited notice.
  • Master’s degree in business administration or CPCM, or similar contract management/paralegal certification, preferred.
  • Experience in power electronics, inverter systems, medium voltage drives, or motor control systems, preferred.
  • 5 years of experience in power conversion equipment, EPC, renewable energy utility-scale, or oil and gas project contract negotiations, preferred.
  • Knowledge of industry-specific regulations and standards, preferred.
  • Knowledge of UCC, commercial law principles, or Incoterms, preferred.
