Description

  • Own SEC reporting obligations, including preparation and review of 10-K, 10-Q, 8-K, and proxy statements.
  • Lead Sarbanes-Oxley compliance, insider trading policy enforcement, Regulation FD, and earnings call and quiet period mechanics.
  • Manage board governance matters, including committee charters, D&O insurance, and director independence determinations.
  • Serve as the primary legal liaison to independent directors and board committees.
  • Help design and implement internal controls.
  • Iterate on and improve legal infrastructure, including contract management systems, transaction and financing processes, governance documents, compliance programs, and legal operations.
  • Build scalable legal processes as Teamshares and its subsidiaries grow.
  • Design and manage outside counsel engagement and spend.
  • Oversee risk philosophy across legal and corporate matters, including capital financing and transaction matters.
  • Manage the company’s equity plans and advise on employment law matters across the portfolio.

Requirements

  • 10+ years of legal experience, including meaningful time at a public company or as outside counsel to public companies in an EGC context.
  • Deep, hands-on fluency in SEC reporting, SOX compliance, corporate governance, and public company operations.
  • Demonstrated experience building public company legal functions from scratch in resource-constrained environments.
  • Solid grounding in equity compensation, employment law, and executive agreements.
  • Strong commercial instincts and the ability to provide practical legal advice that advances business goals.
  • Outstanding communication skills and executive presence, including comfort presenting to boards and engaging independent directors.
  • Demonstrated ability to mentor junior legal talent and business stakeholders.
  • J.D. from an accredited law school.
  • Transactional experience in M&A, capital markets, or both (preferred).
  • Experience drafting and negotiating complex commercial agreements and financing documents (preferred).
  • Intellectual property portfolio management experience (preferred).
  • Comfort with data privacy compliance, including GDPR, CCPA, and applicable state or sector-specific regulations (preferred).
  • Experience with broad-based employee equity programs (preferred).
  • Familiarity with state blue sky / securities laws (preferred).
