Description

  • Lead the legal lifecycle of approximately 5 acquisitions per year and drive transactions through closing.
  • Own and negotiate the SPA, coordinating with local counsel across Europe and North America.
  • Design and operate AI-driven due diligence processes to review large volumes of SaaS contracts quickly.
  • Build AI-augmented tax structuring workflows for cross-border deals, transfer pricing, and permanent establishment risk analysis.
  • Manage the company’s $100M debt facility, including drawdowns, covenant compliance, and lender relations.
  • Oversee compliance for a 400-person global workforce, including employees, contractors, and EOR arrangements.
  • Manage and scale the global Stock Appreciation Rights program.
  • Implement internal self-service legal tools to handle routine queries on matters such as SARs, HR compliance, and NDAs.
  • Select, budget for, and implement legal operations systems including entity management, CLM, and tax research tools.
  • Act as a sophisticated buyer of outside counsel and verify their work using AI-enabled review workflows.

Requirements

  • 6–10 years of legal experience, likely from a top-tier private equity or M&A practice.
  • JD required; LLM required.
  • Experience leading M&A transactions and working across the legal lifecycle of acquisitions.
  • Comfort using AI and prompt engineering to build efficient legal workflows.
  • Ability to build and operate a no-code legal stack.
  • Understanding of international tax concepts, including tax treaties, transfer pricing, and cross-border structuring.
  • Ability to recognize when specialist tax input is needed for final review.
  • Operational mindset with a focus on deal velocity and practical risk assessment.
  • Experience working across multiple jurisdictions in Europe and North America is strongly aligned with the role.
  • Familiarity with OE​​CD/Pillar Two and evolving European tax rules is a plus.
