Description

  • Lead legal due diligence for M&A transactions and partner with the M&A team and board during deal execution.
  • Manage outside counsel across multiple jurisdictions and help ensure transactions close on time and within budget.
  • Oversee corporate governance for the Delaware parent and subsidiaries in Germany, Austria, France, Finland, Canada, and the US.
  • Serve as corporate secretary for board meetings and handle corporate secretarial duties.
  • Oversee legal requirements related to the $100M debt facility, including covenant compliance and reporting obligations.
  • Partner with People Ops on legal matters for a 400+ person hybrid workforce, including FTEs, contractors, and EORs.
  • Ensure compliance of the SAR program and other employment-related legal processes.
  • Streamline customer contracts and privacy policies across the portfolio, including GDPR and CCPA matters.
  • Build scalable processes for IP protection, data privacy, and internal audits.
  • Establish a lean, scalable legal operations framework that reduces reliance on external counsel.

Requirements

  • JD, LLM, or equivalent degree.
  • Admission to practice in a major jurisdiction, with the US or EU preferred.
  • 6+ years of experience with a heavy emphasis on M&A or Venture Capital.
  • In-house experience at a buy-and-build platform is a major plus.
  • Comfort navigating both US and European legal frameworks.
  • Experience working in a remote-first, asynchronous environment.
  • Ability to adopt AI tools such as ChatGPT Enterprise or Gemini to improve efficiency.
  • Ability to set functional strategy and work closely with senior leadership.
  • Experience in corporate governance, compliance, commercial contracts, privacy, or employment law is relevant.
  • Strong cross-border legal proficiency in a global operating environment.
