Description

  • Manage standardized contract intake for NDAs, MSAs, SOWs, DPAs, vendor agreements, amendments, and renewals.
  • Route contracts through the correct approval workflows and manage SLA expectations for execution timelines.
  • Draft, format, review, and redline agreements using approved templates, clause libraries, Microsoft Word Track Changes, and legal playbooks.
  • Identify and escalate non-standard terms involving indemnification, limitation of liability, IP ownership, data privacy/security, termination rights, and SLAs.
  • Maintain deviations logs documenting contract changes, approvals, and the rationale for exceptions.
  • Coordinate approvals across Legal, Finance, Procurement, InfoSec, Privacy, and Leadership.
  • Verify pricing alignment, budget approvals, vendor onboarding documentation, and other compliance requirements.
  • Manage e-signature workflows and verify signer authority, signature blocks, and fully executed copies.
  • Maintain contract repositories and CLM systems, ensuring accurate metadata for value, renewal dates, notice periods, jurisdictions, and data processing requirements.
  • Track renewals, notice windows, deliverable obligations, and pricing escalators while keeping contracts audit-ready.
  • Deliver reporting dashboards and contract metrics on cycle time, SLA adherence, standard-term usage, renewal pipelines, and clause deviations.
  • Improve template governance, clause libraries, workflow automation, and other CLM processes.

Requirements

  • 2+ years of experience in contracts administration, legal operations, procurement operations, or contract lifecycle management.
  • Hands-on experience with CLM systems, contract repositories, and e-signature workflows.
  • Strong proficiency with Microsoft Word Track Changes, Excel or Google Sheets, and PDF editing tools.
  • Strong understanding of indemnity, limitation of liability, confidentiality, IP ownership, DPAs, and SLAs.
  • Excellent organizational and communication skills.
  • Experience in SaaS, technology, healthcare, finance, or other regulated industries is preferred.
  • Familiarity with vendor risk management, procurement workflows, and security questionnaires is preferred.
  • Experience managing clause libraries, template governance, or legal playbooks is preferred.
  • Exposure to GDPR, HIPAA, PCI-DSS, or SOX compliance is preferred.
  • Remote full-time availability aligned with U.S. business hours.
