Description

  • Advise internal clients on procurement matters and help mitigate legal issues across the global supply chain.
  • Draft, review, and negotiate complex commercial agreements, including SaaS, technology, IT procurement, data protection, and security addenda.
  • Serve as lead procurement counsel on strategically important and high-value contracting, including cloud services, data center agreements, and strategic buy/sell transactions.
  • Direct the day-to-day work of the Vendor Contract Management team responsible for procurement contract review and negotiation.
  • Partner with the Vendor Management Office and senior vendor management leadership to improve policies, workflows, time-to-contract, risk management, and commercial outcomes.
  • Collaborate with Security and Compliance teams to maintain security posture through contractual, technical, and business process solutions.
  • Draft and maintain buy-side contracting templates, processes, and the contract management playbook for IT, technology, infrastructure platform licensing, SaaS licensing, and related services.
  • Engage with internal and external stakeholders at multiple levels, translating legal issues into clear, actionable language.
  • Support negotiations and contract management across a complex international business and multiple time zones.

Requirements

  • 5–7 years of experience negotiating commercial contracts with solid knowledge of technology law, contract law, and data protection principles.
  • Strong attention to detail and excellence in contract drafting and dispute management.
  • Experience negotiating privacy, security, and data protection terms in commercial contracts.
  • Excellent English-language writing skills, both technical and colloquial.
  • Ability to work independently, prioritize multiple competing deliverables, and meet deadlines across matter types and time zones.
  • Outstanding interpersonal skills with the ability to coordinate effectively and build trust across many levels.
  • Active bar license in good standing in the state of residence.
  • 2+ years of in-house experience with a multinational corporation is preferred.
  • Understanding of software development, design, or product management processes is preferred.
  • CIPP/E certification or similar privacy law experience is preferred, especially with India privacy law.
