Description

  • Develop and own Maneva’s commercial legal strategy, contracting standards, and risk framework.
  • Negotiate and execute material customer, partnership, vendor, and SaaS agreements.
  • Draft and maintain contract templates, SOWs, DPAs, security agreements, and standard terms.
  • Track key deals and risk areas, and advise leadership on deal structure and negotiation strategy.
  • Partner with sales, product, and operations teams to align contracts with business objectives.
  • Develop and implement AI-powered automations across legal workflows.
  • Use AI tools to improve contract drafting, legal analysis, due diligence, and compliance monitoring.
  • Build AI-assisted legal templates, processes, and knowledge bases that scale legal work efficiently.
  • Oversee compliance and legal matters across employment, corporate governance, regulatory, and general corporate functions.
  • Manage external counsel relationships and outsource specialist matters such as export control, tax, and IP prosecution as needed.

Requirements

  • 5–8 years of experience as a lawyer at a law firm and/or in-house at a B2B SaaS or comparable high-growth technology company.
  • Substantial experience negotiating and drafting commercial contracts.
  • Strong negotiation skills and business judgment with the ability to assess legal risk in a commercial context.
  • Ability to navigate employment, corporate governance, export control, data privacy, and regulatory compliance matters.
  • Strong business acumen and understanding of venture funding dynamics, cap tables, and operational impact of legal decisions.
  • Excellent written and verbal communication skills, with the ability to explain legal issues clearly to non-lawyers.
  • Experience thriving in fast-paced, ambiguous startup environments and building legal infrastructure from the ground up.
  • Comfort with contracts, spreadsheets, and common SaaS legal/financial tools.
  • Familiarity with equity management software such as Carta and 409A valuations is a plus.
  • Bilingual French/English is strongly preferred.
