Description

  • Lead deal execution for acquisitions, disposals, minority investments, fund investments, financing transactions, and joint ventures across multiple jurisdictions.
  • Structure, draft, negotiate, and complete transaction documents and provide end-to-end legal support for corporate transactions.
  • Assess and advise senior stakeholders on legal, regulatory, and commercial risks in transactions.
  • Navigate regulatory approvals, including antitrust, foreign investment clearances, and securities law requirements.
  • Coordinate with internal business teams such as senior management, business development, finance, tax, and other functions on transaction matters.
  • Provide legal support on post-transaction monitoring and corporate governance matters.
  • Draft, review, and negotiate TMT and other commercial agreements across the NetEase group and business units.
  • Advise on legal and regulatory issues involving emerging technologies such as Web3, blockchain, AI, tokenization, and online payment systems.
  • Support corporate functions including finance, tax, procurement, IT, corporate secretarial, HR, treasury, and others with contract reviews, advisory work, and commercial disputes.
  • Establish contract standards and templates to streamline commercial agreement review processes.
  • Lead and mentor legal counsel and provide training to legal, internal control, business, and executive stakeholders.
  • Select, manage, and coordinate external counsel and advisors across different jurisdictions.

Requirements

  • Admitted and licensed attorney in the U.S., Hong Kong, Singapore, or another major common-law jurisdiction.
  • 8+ years of relevant post-qualification experience in well-regarded law firms and/or in-house legal teams.
  • In-house legal experience preferred.
  • Ability to lead, manage, and motivate team members located in multiple jurisdictions.
  • Excellent transactional training.
  • Expertise in TMT laws, regulations, and industry best practices across different regions.
  • Understanding of emerging trends in FinTech/blockchain, money transmission, AI, online game regulation, and digital infrastructure.
  • Strong drafting, negotiating, problem-solving, and deal-structuring skills.
  • Excellent leadership and communication skills with cultural sensitivity and flexibility.
  • Demonstrated ability to influence and drive change within an organization.
  • Experience managing outside counsel.
  • Ability to work with a geographically dispersed team.
  • High-level proficiency in both Mandarin Chinese and English.
  • Preferred location: Hong Kong, Singapore, or another Asia-Pacific hub; U.S., Canada, or other locations considered for exceptional candidates.
