Description

  • Negotiate, draft, and review complex commercial and technology agreements, including partnership, services, consulting, marketing, licensing, data privacy, and artificial intelligence-related contracts.
  • Independently manage strategic and high-priority matters involving large-value and material transactions.
  • Advise Sales and cross-functional teams on contract structure, risk allocation, and negotiation strategy.
  • Perform risk analysis on contractual documents and recommend mitigation options, escalation paths, and alternative terms.
  • Benchmark, develop, and maintain contract templates, playbooks, policies, and supporting documentation.
  • Monitor legal and regulatory changes and update contracting practices accordingly.
  • Create and deliver training for contract managers and Sales team members.
  • Partner with internal stakeholders, external counterparties, and outside counsel to drive agreements to closure.
  • Help scale consistent contracting processes across regions and improve deal execution systems.

Requirements

  • J.D. from an accredited law school and active bar membership in at least one U.S. state.
  • 3+ years of experience at a major law firm and/or in-house legal department.
  • Experience negotiating and drafting complex commercial and technology agreements, including software, SaaS, services, consulting, marketing, licensing, partnerships, data privacy, and artificial intelligence-related terms.
  • Experience in commercial and technology transactions preferred.
  • Ability to independently manage high-volume, strategic, and high-priority matters.
  • Knowledge of regional legal requirements and comfort partnering with outside counsel.
  • Practical risk-spotting and risk mitigation skills with business-focused judgment.
  • Experience improving or building templates, playbooks, processes, and documentation.
  • Strong communication, relationship-building, and stakeholder-influencing skills.
  • Comfort working in a remote, globally distributed environment across time zones and willingness to learn GitLab and use GitLab in your work.

Benefits

  • Base salary range of $100,800 to $216,000 USD for the listed U.S. level.
  • Eligibility for bonuses and equity, with sales roles also eligible for incentive pay up to 100% of base salary.
