Description

  • Support priced rounds, SAFEs, and convertible notes from term sheet through closing, including ancillary documents, signatures, and closing logistics.
  • Incorporate and organize entities, including formation documents, governing agreements, resolutions, and corporate records.
  • Administer equity incentive plans, stock option grants, and required board and stockholder approvals.
  • Maintain capitalization tables and equity records using platforms such as Carta or Shareworks.
  • Manage ongoing corporate housekeeping, including annual filings, franchise taxes, registered agent matters, and minute books.
  • Support startup-side M&A diligence by organizing data rooms, tracking requests, and flagging issues for attorneys.
  • Prepare closing checklists, documents, closing volumes, board resolutions, and stockholder minutes.
  • Communicate directly with founders and clients regarding routine requests, closing logistics, and status updates.
  • Draft and revise standard agreements and templates under attorney direction.
  • Use and improve AI-native workflows, playbooks, and operational processes for drafting, diligence, and matter intake.

Requirements

  • 3+ years of corporate or transactional paralegal experience with substantive ECVC experience.
  • Experience with incorporations, venture financings, and cap table or equity plan administration.
  • Experience using capitalization management platforms such as Carta or Shareworks.
  • Four-year degree and/or paralegal certificate from an ABA-approved program.
  • Experience in a law firm, legal tech company, or in-house legal environment; startup or high-growth company experience preferred.
  • Working knowledge of NVCA-style financing documents, SAFEs, and convertible notes.
  • Startup-side M&A experience, including asset deals, acqui-hires, or company sales, preferred.
  • Strong Excel, written communication, organizational, multitasking, and independent execution skills.
  • Ability to identify when matters require attorney judgment and manage multiple deadline-driven matters.
  • Interest in AI tools and improving legal-service workflows; U.S. work authorization and residency required.

  • $100,000–$120,000 base salary, commensurate with experience.
