Description

  • Own the contract intake process, including triage, routing, tracking, and signature completion.
  • Draft and review NDAs, engagement letters, consulting agreements, trademark licenses, talent agreements, vendor contracts, SaaS agreements, and manufacturer agreements.
  • Develop contract playbooks and administer contract and document management systems.
  • Support legal automation, process optimization, and operational efficiency initiatives.
  • Manage entity formation, foreign qualifications, good standing, Secretary of State filings, trade names, and registered agent relationships.
  • Maintain corporate records and prepare Board meeting materials, minutes, resolutions, and written consents.
  • Partner with Marketing, Finance, Operations, People, Tech, outside counsel, and vendors on corporate legal matters.
  • Create SOPs, process trackers, and self-service tools for the legal department.
  • Provide support for IP docketing, brand protection, marketing review, subpoenas, scheduling, and deadlines.
  • Use AI tools for legal intake, research, contract work, and monitoring legal developments.

Requirements

  • 7+ years of experience as a corporate paralegal, contracts manager, or legal operations professional in-house or at a law firm.
  • Degree in Law, Paralegal Studies, or a related field.
  • Experience with legal operations, software evaluation and implementation, process optimization, and vendor management.
  • Experience managing subsidiaries and corporate entity filings.
  • Proficiency with Google Workspace, Microsoft Office, DocuSign, and Box.
  • Familiarity with Spotdraft, Carta, or similar platforms.
  • Comfort using AI tools such as Ruli AI, Claude, or Gemini for legal operations.
  • Strong drafting, organization, project management, problem-solving, and communication skills.
  • Ability to work autonomously, manage competing priorities, and handle confidential information.
  • Experience with financings, mergers and acquisitions, or startup-to-exit corporate work is preferred.
  • Must be authorized to work full-time in the U.S. without current or future visa sponsorship.
