Description

  • Draft, redline, and negotiate biotech agreements, including CDAs, consulting agreements, MSAs, SOWs, vendor and CRO agreements, clinical trial agreements, CMC and supply agreements, and MTAs.
  • Apply contracting playbooks, protect key intellectual property, confidentiality, and data interests, and escalate material issues to the General Counsel.
  • Own contract timelines, triage company-wide requests, keep stakeholders informed, and move agreements efficiently to signature.
  • Build and maintain contract playbooks, fallback positions, approval rules, and template libraries.
  • Route approvals, coordinate signatures, file executed agreements in Ironclad, and track renewals, expirations, and obligations.
  • Own and administer the Ironclad repository, including workflows, templates, metadata, permissions, and user training.
  • Rebuild and improve the company’s contracting intake and operational processes, including AI-assisted tools.
  • Coordinate outside counsel and consultants on specialized legal questions.
  • Support legal operations projects such as vendor review, employee contracting training, and process improvement.

Requirements

  • 5+ years of experience negotiating and managing contracts in biotech or pharmaceutical companies, or with law firms or CROs serving life sciences organizations.
  • Direct experience negotiating standard biotech agreements with counterparties rather than only routing documents.
  • Demonstrated practical judgment and ability to close agreements quickly while focusing on material risks and value.
  • Experience administering a contract lifecycle management system.
  • Experience owning contract administration, including signatures, filing, tracking, and obligation management.
  • Current hands-on use of AI tools and interest in expanding their application to contracting work.
  • Preferred experience with Ironclad Signature or DocuSign.
  • Preferred experience in a public company, clinical operations contracting, legal operations, playbook or template development, or CLM implementation.
  • A paralegal certificate or law degree is welcome but not required.
  • Ability to work remotely in the United States.
