Description

  • Review, draft, and redline commercial agreements such as MSAs, SOWs, NDAs, vendor contracts, and SaaS subscription agreements.
  • Manage the contract pipeline by tracking status, deadlines, open items, and follow-ups.
  • Conduct initial review of customer and vendor contracts, flag non-standard terms, and escalate issues as needed.
  • Maintain and organize the contract repository, ensuring agreements are filed, version-controlled, and accessible.
  • Coordinate with outside counsel, including preparing documents, managing communications, and tracking billing.
  • Support responses to fraud inquiries, subpoenas, regulatory requests, and government correspondence.
  • Assist with employment-related documentation, including offer letters, severance agreements, and policy updates in coordination with HR.
  • Conduct legal research on data privacy, cross-border regulatory requirements, and SaaS commercial norms.
  • Educate internal stakeholders, especially Sales, on contract standards, liability positions, and acceptable terms.
  • Maintain and update legal playbooks, contract templates, standard operating procedures, and legal holds documentation.

Requirements

  • Paralegal certificate, law degree, or J.D. status as a non-practicing or pre-bar candidate.
  • 2–5 years of experience in a legal, law firm, or in-house corporate legal environment.
  • Strong working knowledge of commercial contract structures and common SaaS agreement terms.
  • Experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor agreements.
  • Exceptional written and verbal communication skills with the ability to explain complex legal concepts to non-legal audiences.
  • Highly organized with strong attention to detail and the ability to manage multiple priorities simultaneously.
  • Proficiency with contract management tools, document management systems, and Microsoft Office or Google Workspace.
  • Experience supporting a General Counsel or senior attorney in a tech or SaaS company is preferred.
  • Exposure to data privacy regulations such as GDPR, CCPA, SOC 2 context, or HIPAA is preferred.
  • Familiarity with cross-border commercial agreements in EMEA or APAC is preferred.
  • Experience with e-signature platforms such as DocuSign or Adobe Sign and CLM tools is preferred.
  • Background in or exposure to cybersecurity, DLP, or workforce analytics industries is preferred.
