Description

  • Ensure compliance with securities laws, regulations, and Nasdaq listing requirements.
  • Oversee public disclosures, including Form 10-K, Form 10-Q, Form 8-K, earnings calls, investor relations disclosures, and corporate press releases.
  • Administer equity programs, including preclearance, corporate and insider Rule 10b5-1 plans, insider trading compliance, dual-class stock matters, Form S-8, and Section 16 filings.
  • Support quarterly and ad hoc Board and Committee meetings and promote corporate governance best practices.
  • Manage the annual stockholder meeting, including proxy statement preparation and shareholder-related matters.
  • Assist with registered and unregistered securities offerings and complex strategic initiatives.
  • Develop and implement corporate policies and procedures, draft compliance certificates, and advise on director and officer matters.
  • Provide legal advice to Finance, Accounting, Equity Administration, Compensation, Corporate Development, Tax, Insurance, and Investor Relations teams.

Requirements

  • 5+ years of experience as a corporate securities and/or executive compensation and benefits lawyer at a public company, law firm, or both.
  • Experience managing equity programs, including unique equity award structures, reporting requirements, and coordination with Equity Administration teams.
  • Excellent verbal and written communication skills, including the ability to explain complex concepts clearly to employees and external stakeholders.
  • Ability to prioritize high-impact work, mitigate significant risks, and provide clear direction in ambiguous situations.
  • Experience working effectively in a fast-paced, high-energy environment.
  • Strong collaboration, empathy, mutual respect, and relationship-building skills.
  • Commitment to diversity, equity, and inclusion, including prior participation in DEI initiatives.
  • Intellectual curiosity, humility, and interest in using AI to improve efficiency and leverage.
