Description

  • Draft, review, redline, and negotiate routine and moderately complex customer- and vendor-side commercial agreements.
  • Assess contracts for clarity, consistency, legal and business risk, and policy alignment, escalating non-standard or higher-risk issues.
  • Participate in negotiations with counterparties and counsel and support agreements through execution.
  • Review commercial provisions including indemnification, liability limits, termination, intellectual property, confidentiality, privacy, data protection, and security.
  • Partner with business stakeholders to understand objectives, communicate risks and alternatives, and translate requirements into contract terms.
  • Manage the contract lifecycle from intake through execution, including approvals, signatures, version control, tracking, recordkeeping, and documentation.
  • Use contract management systems, databases, and AI-enabled legal technology for contract review and administration.
  • Conduct legal research, communicate recommendations, and help improve contract templates, processes, consistency, and efficiency.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Active membership in good standing in at least one U.S. state bar.
  • 1–2 years of relevant legal experience, preferably in commercial contracting.
  • Experience drafting, reviewing, redlining, or negotiating commercial agreements.
  • Strong analytical, legal research, attention-to-detail, and accuracy skills.
  • Excellent written and verbal communication skills, including explaining legal issues to non-lawyers.
  • Ability to prioritize multiple matters, meet deadlines, exercise sound judgment, and recognize when to seek guidance.
  • Proficiency in Microsoft Office and ability to learn contract management software, databases, and legal technology.
  • Experience with AI-enabled tools for contract review, drafting, redlining, or analysis is preferred.
  • Ability to collaborate effectively with legal and business teams and build productive working relationships.
