Description

  • Draft, review, and negotiate customer- and vendor-side commercial agreements, including SaaS, licensing, services, marketing, data processing, and confidentiality agreements.
  • Manage routine and moderately complex contract negotiations from intake through execution, identifying risks and practical solutions.
  • Advise business stakeholders on contractual risks, alternatives, and transaction requirements.
  • Develop contract templates, clause libraries, negotiation playbooks, approval standards, and escalation procedures.
  • Improve contract intake, review, approval, signature, storage, renewal, and post-execution processes.
  • Administer and optimize AI-enabled contract lifecycle management and review technology.
  • Develop metrics and reporting covering contract volume, cycle times, renewals, status, and recurring issues.
  • Maintain reliable contract records and promote consistent use of contract repositories and systems.
  • Supervise, coach, and support Contract Specialists in contract administration and routine negotiations.
  • Collaborate with Sales, Finance, Procurement, Privacy, Information Security, Technology, Product, Marketing, and other functions.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Active membership in good standing in at least one U.S. state bar.
  • Approximately 5–8 years of relevant legal experience drafting and negotiating commercial agreements.
  • Broad experience negotiating from both customer and vendor/procurement perspectives.
  • Experience independently negotiating data processing agreements and privacy provisions.
  • Working knowledge of GDPR and U.S. state privacy requirements.
  • Experience with contract lifecycle management or comparable contract management technology.
  • Experience using AI-enabled contract review, drafting, analysis, or management tools.
  • Experience supervising, mentoring, or directing contract specialists, paralegals, or other legal professionals.
  • Ability to manage significant contract volume with competing deadlines; prior in-house experience and experience improving contracting systems are preferred.
