Description

  • Lead the legal review, drafting, negotiation, and management of procurement contracts across the organization.
  • Review, draft, redline, and negotiate SaaS, professional services, licensing, SOW, and MSA agreements.
  • Collaborate with procurement, IT, finance, and operations teams to develop contract templates, playbooks, and negotiation guidelines.
  • Support major client agreements and assist the Commercial Team as needed.
  • Work with Executive Leadership on strategic partnerships affecting Coalfire and its subsidiaries.
  • Provide guidance on contracting policies, guidelines, and exceptions across contracting, product development, and marketing processes.
  • Conduct legal review of proposals, RFP responses, and third-party risk assessments related to procurement.
  • Advise on data privacy, security, and compliance obligations, including GDPR, HIPAA, and other regulatory requirements.
  • Manage the contract lifecycle, including renewals, amendments, terminations, and close-out documentation.
  • Provide training on procurement contracting processes, risk management, and compliance requirements.

Requirements

  • At least 10 years of experience as a contracts professional with significant focus on procurement agreements.
  • At least 3 years of experience supporting Partnership and Procurement Reviews.
  • Interest in transactional law and the cybersecurity industry.
  • Experience working in-house and in a remote environment is a plus.
  • Excellent written, verbal, and interpersonal communication skills.
  • Proven ability to build relationships among stakeholders.
  • Strong organizational, analytical, and business judgment skills.
  • Ability to maintain confidentiality and exercise discretion.
  • Strong drafting skills with the ability to maintain consistent language across similar agreements.
  • Paralegal certificate is a bonus.
