Description

  • Prepare agendas, notices, and minutes for board meetings, committee meetings, and annual general meetings, and handle follow-up actions.
  • Draft, review, and negotiate a broad range of commercial contracts, with a strong focus on sales and procurement matters.
  • Provide day-to-day legal support and practical advice to cross-functional stakeholders across sales, procurement, finance, HR, product, and leadership teams.
  • Advise on employment and labor law matters, including compliance with labor codes, employee relations, disciplinary actions, and policy implementation.
  • Support corporate governance, entity compliance, regulatory, and other general corporate matters for Indian entities.
  • Monitor changes in applicable laws, regulations, and industry guidance that affect commercial agreements, governance, employment, and compliance.
  • Develop and enhance local policies, procedures, playbooks, and scalable legal processes.
  • Support and mentor junior legal team members and contribute to best practices for a growing legal function.
  • Provide legal and strategic business advice to ensure agreements align with internal policies, processes, and company parameters.
  • Support the legal team on other matters as needed and collaborate across functions and time zones.

Requirements

  • Fully qualified lawyer admitted to practice law in India.
  • 6+ years of experience drafting, reviewing, and negotiating commercial customer and vendor agreements.
  • Experience advising on corporate governance matters for Indian entities, either in-house, at a nationally recognized law firm, or both.
  • Ability to review and negotiate Master Services Agreements, Services Agreements, SOWs, Service Level Agreements, Order Forms, and NDAs.
  • Experience providing day-to-day legal support to cross-functional stakeholders, including Sales, Procurement, Finance, HR, and leadership teams.
  • Strong knowledge of Indian employment and labor laws, including labor code compliance, workforce matters, disciplinary actions, and HR policies.
  • Ability to provide practical, risk-based advice on general corporate, regulatory, compliance, and operational matters.
  • Experience managing, developing, and coaching team members.
  • Experience advising international teams and handling cross-border legal and commercial matters.
  • Experience with training, contract management systems, and data privacy is a plus.
