Description

Prepare and support filing of periodic and current reports, including Forms 10-K, 10-Q, 8-K, and related exhibits and schedules.
Coordinate EDGAR filings, manage reporting calendars, and track filing deadlines.
Draft and update disclosure support materials, checklists, and internal controls documentation.
Support follow-on offerings, at-the-market programs, debt financings, and secondary transactions, including coordinating document execution and closing logistics.
Assist with due diligence requests from underwriters, auditors, and regulators.
Administer equity plan tasks including tracking grants, vesting, exercises, settlements, and disclosures.
Support Section 16 compliance, including preparation and filing of Forms 3, 4, and 5, and partner with Finance/Stock Administration on equity disclosures.
Maintain corporate records, prepare board and committee materials, and manage governance documentation.
Interface with external counsel, auditors, and internal stakeholders across Legal, Finance, and Product.
Identify and implement process improvements and tooling to scale public-company infrastructure.

Requirements

Paralegal certificate or equivalent experience.
4+ years of experience supporting capital markets, securities, or public-company matters (law firm and/or in-house).
Hands-on experience with SEC filings and EDGAR.
Strong organizational skills with the ability to manage multiple deadlines in a high-growth environment.
Exceptional attention to detail and sound judgment handling sensitive information.
Experience supporting a newly public company (preferred).
Familiarity with equity compensation administration and Section 16 compliance (preferred).
Experience with equity management platforms (e.g., Carta, Shareworks), disclosure management tools, and familiarity with Workiva (preferred).
Experience in fintech, financial services, or other highly regulated industries (preferred).
Authorized to work in the U.S. / open to US-based remote work.

Estimated annual salary $139,920 - $175,000 plus equity and a discretionary bonus.
