Description

  • Provide legal advice on capital markets transactions across global jurisdictions, including debt financings, loan origination partnerships, forward flows, stablecoin and crypto-denominated facilities, and other asset-based financings.
  • Draft, review, and negotiate commercial contracts and other legal documents.
  • Support corporate governance matters, board management, and compliance with foundational corporate documents.
  • Advise on equity management, including cap table administration and employee stock options.
  • Serve as legal counsel on major business transactions, including fundraising rounds and joint ventures.
  • Oversee due diligence processes and assess the legal implications of business decisions.
  • Collaborate with Finance, Capital Markets, Product, and other cross-functional teams to support business goals and manage legal risk.
  • Develop and implement policies and procedures to improve legal department efficiency.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Active admission to practice law in at least one U.S. state.
  • 6+ years of legal experience in a law firm or corporate setting relevant to the role.
  • Proven experience handling complex commercial transactions.
  • Strong background in capital markets and corporate governance.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to work independently and manage multiple priorities in a fast-paced international environment.
  • In-house experience in FinTech is a plus.
  • Experience working with emerging markets is a plus.
