Description

  • Draft, review, and negotiate commercial agreements including MSAs, SaaS and cloud subscriptions, software licenses, professional services agreements, SOWs, order forms, NDAs, and technology agreements.
  • Lead vendor procurement contracting from intake and risk triage through redlines, negotiation, signature, and renewal.
  • Support Sales on merchant and partner agreements, including pricing schedules, integration terms, marketing addenda, and enterprise deals.
  • Negotiate technology agreements covering payments infrastructure, data and analytics, AI/ML services, hosting, fraud and identity, and developer tools.
  • Review and negotiate DPAs, SCCs, and security exhibits in coordination with Privacy and Information Security.
  • Maintain and improve contract templates, playbooks, fallback positions, and self-service legal resources.
  • Advise internal stakeholders on contract risk, escalation paths, and commercial alternatives.
  • Help operate and improve CLM tooling, intake workflows, signature processes, and post-signature obligation tracking.
  • Track renewals, auto-renewal windows, and key commercial obligations across the vendor portfolio.
  • Partner with Finance, Tax, and Accounting on contract terms with revenue recognition, tax, or capitalization implications.

Requirements

  • J.D. from an accredited U.S. law school.
  • Active bar membership in at least one U.S. jurisdiction, or eligibility for registered/authorized in-house status in the relevant state.
  • 5–8+ years of combined law firm and/or in-house experience focused on commercial contracts.
  • Experience drafting and negotiating MSAs, SaaS agreements, technology agreements, and vendor procurement contracts at scale.
  • Strong working knowledge of commercial risk concepts including limitation of liability, indemnification, IP ownership and license scope, warranties, termination, and SLA frameworks.
  • Clear, concise drafting style with the ability to translate legal positions into business language.
  • Excellent judgment and the ability to operate independently in a fast-paced, high-volume environment.
  • Comfort working cross-functionally with Procurement, Sales, Engineering, Product, Finance, and InfoSec.
  • Experience working with Claude or equivalent large language model tools is required.
  • Experience reviewing and negotiating DPAs, SCCs, and data processing terms under GDPR, CCPA/CPRA, and other U.S. state privacy laws (preferred).
  • Familiarity with security exhibits, subprocessor terms, and cross-border data transfer mechanisms (preferred).
  • Prior in-house experience at a fintech, payments, lending, or other regulated technology company (preferred).
  • Experience with CLM platforms such as Ironclad or Agiloft, and e-signature tools (preferred).
  • Exposure to AI/ML vendor contracting and emerging AI governance issues (preferred).
  • Experience supporting public company processes, including 10-K/10-Q contract disclosures and material contract analysis (preferred).
