Description

  • Lead legal due diligence and support transaction execution with the M&A team and board.
  • Manage outside counsel across multiple jurisdictions to close deals on time and within budget.
  • Oversee corporate governance for the Delaware parent and subsidiaries in Europe and North America.
  • Act as corporate secretary and support board meetings and related secretarial duties.
  • Handle legal obligations tied to the $100M debt facility, including covenant compliance and reporting.
  • Partner with People Ops on legal matters affecting a 400+ person hybrid workforce, including contractors and EORs.
  • Ensure compliance of the SAR program and other employment-related legal structures.
  • Streamline customer contracts and privacy policies across the SaaS portfolio.
  • Build scalable processes for IP protection, data privacy, and internal audits.
  • Establish a lean, AI-driven legal operations framework that reduces reliance on external counsel.

Requirements

  • JD, LLM, or equivalent degree.
  • Admitted to practice in a major jurisdiction, preferably the US or EU.
  • 6+ years of experience, with a strong focus on M&A or venture capital.
  • In-house experience at a buy-and-build platform is a major plus.
  • Comfort navigating both US and European legal frameworks.
  • Experience working in a remote-first, asynchronous environment.
  • An operational mindset that treats legal as a business enabler.
  • Familiarity with AI tools such as ChatGPT Enterprise or Gemini is preferred.
  • Ability to set functional strategy and work effectively with senior leadership.
