Description

  • Manage contracts throughout the full lifecycle, from intake and drafting through review, approval, execution, storage, renewals, and reporting.
  • Draft, review, and redline agreements including NDAs, DPAs, SOWs, MSAs, vendor agreements, order forms, and partner/reseller agreements.
  • Escalate non-standard legal and commercial risks, including indemnification, limitation of liability, IP ownership, privacy and security terms, termination clauses, and SLA deviations.
  • Coordinate approvals across Legal, Finance, Procurement, Security, InfoSec, and executive stakeholders.
  • Manage e-signature workflows and verify signer authority, signature blocks, and execution completeness.
  • Store and organize agreements in CLM or repository systems and maintain complete metadata and contract history.
  • Track renewal deadlines, notice periods, pricing triggers, deliverables, and contract obligations, and send proactive reminders to stakeholders.
  • Maintain audit-ready compliance documentation, approval records, and execution records.
  • Build dashboards and reports on cycle times, SLA adherence, renewals, deviations, and agreement standardization.
  • Improve CLM workflows, templates, clause libraries, approval routing, and self-service agreement processes.

Requirements

  • 2+ years of experience in contracts administration, legal operations, or contract coordination.
  • Hands-on experience with one or more CLM or repository tools such as Ironclad, Icertis, Agiloft, ContractWorks, Conga, SharePoint, or Drive.
  • Strong proficiency with Microsoft Word Track Changes, Excel or Google Sheets, and PDF editing tools.
  • Working understanding of NDAs, DPAs, indemnities, IP clauses, confidentiality terms, limitation of liability, and SLAs.
  • Experience with GDPR, CCPA, HIPAA, PCI-DSS, or other regulated environments is preferred.
  • Experience supporting buy-side and sell-side contracts is preferred.
  • Background in procurement, vendor risk, or security questionnaires is preferred.
  • Experience managing templates, playbooks, and clause libraries is preferred.
  • Ability to work U.S. business hours in a full-time remote role.
  • Strong attention to detail, organization, communication, and follow-through in high-volume contract environments.
