Description

Draft, review, revise, and negotiate NDAs, MSAs, employment agreements, vendor agreements, service contracts, commercial contracts, leases, and related legal documents.
Identify legal risks and recommend practical solutions during contract and business discussions.
Support leadership in negotiations and contract conversations.
Conduct legal research and interpret laws, regulations, and case law using tools such as Westlaw, LexisNexis, and Practical Law.
Provide timely legal guidance to leadership, stakeholders, and cross-functional teams.
Assess legal and operational risks and recommend compliant business solutions.
Prepare and maintain corporate resolutions, operating agreements, governance documents, and corporate filings.
Monitor compliance with applicable laws and regulations, including employment law, GDPR, HIPAA, FTC regulations, SOX requirements, and industry-specific standards.
Draft legal correspondence, pleadings, motions, and discovery responses when needed, and coordinate with outside counsel on litigation matters.
Maintain organized legal files, contract databases, and document management systems while improving workflows and legal process standardization.

Requirements

Juris Doctor (JD) or equivalent law degree.
Active bar admission in at least one U.S. jurisdiction.
3+ years of legal practice experience in a law firm or in-house environment.
Experience drafting, reviewing, and negotiating commercial contracts.
Experience providing legal and compliance advisory support.
Strong legal research, analytical, and problem-solving skills.
Excellent written and verbal English communication skills.
Ability to manage multiple legal matters simultaneously.
In-house counsel experience preferred.
Multi-jurisdictional or international legal exposure preferred.
Experience in corporate law, employment law, SaaS and technology, compliance, real estate, or commercial transactions preferred.
Familiarity with legal management platforms such as Clio, MyCase, or PracticePanther preferred.
Experience supporting high-growth companies or operational teams preferred.
Proficiency with Westlaw, LexisNexis, Microsoft Office, Google Workspace, contract management systems, and document management platforms.
