Description

  • Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, proxies, officer certificates, and corporate authorizations.
  • Maintain minute books, corporate records, statutory registers, and entity organizational charts for U.S. and foreign entities.
  • Keep entity information accurate and up to date in internal systems.
  • Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
  • Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings.
  • Manage document signing, notarization, apostille, and legalization when required.
  • Support corporate compliance efforts, audits, due diligence, financing, and mergers and acquisitions activities.
  • Coordinate signatures and facilitate document flow and approval processes.
  • Assist legal counsel with legal research, document organization, and preparation of internal reports or summaries.

Requirements

  • Diploma or certificate in legal administration/paralegal studies, or equivalent professional experience.
  • More than 2 years of experience in corporate law, legal operations, or in-house legal support.
  • Strong knowledge of corporate governance, entity maintenance, and multi-state filings.
  • Excellent writing, organizational, and detail-oriented skills.
  • Proficiency in Microsoft Office and document/legal management tools.
  • Experience working with multinational entities such as Canada, Europe, the Middle East, or APAC is an asset.
  • Experience in technology, SaaS, or private equity-backed organizations is an asset.
  • Bilingualism in English and French is an asset.
