Description

  • Draft, negotiate, and manage technology transactions and commercial contracts, including SaaS, licensing, data processing, OEM, and vendor agreements.
  • Lead complex negotiations with enterprise customers and strategic partners in the life sciences industry.
  • Support legal operations by collaborating with the General Counsel and outside counsel and helping manage the legal team as it grows.
  • Use AI tools and legal technology to improve contract lifecycle management, legal research, document review, and legal support automation.
  • Develop and maintain contract templates, playbooks, and standardized processes to improve consistency and reduce cycle times.
  • Advise internal stakeholders across Sales, Customer Success, Finance, Product, HR, and other functions on deal structure and risk allocation.
  • Partner with Product and Engineering teams on new product launches, feature development, terms of service, and go-to-market legal requirements.
  • Support privacy and data protection work, including GDPR, CCPA, customer data commitments, and privacy impact assessments.
  • Assist with M&A activities, including due diligence, transaction execution, post-close integration, and potential strategic transaction preparation.
  • Advise on employment matters, litigation, procurement, and ESG-related matters as needed.

Requirements

  • J.D. from an accredited law school and active bar membership.
  • 6–8 years of legal experience for Sr. Corporate Counsel or 8–12 years for Director of Legal.
  • Demonstrated experience with technology transactions and commercial contracts, including SaaS agreements, Master Subscription Agreements, Data Processing Agreements, and technology licensing arrangements.
  • Experience supporting M&A transactions, including buy-side or sell-side due diligence, transaction execution, and post-close integration.
  • Working knowledge of privacy laws and regulations, including GDPR and CCPA.
  • Experience advising on employment matters, including offer letters, separation agreements, employee policies, and federal and state employment law compliance.
  • Experience working with or for SaaS or technology companies and understanding how technology businesses operate.
  • Comfort with leveraging AI tools and legal technology platforms to drive efficiency and scale legal support.
  • Strong communication skills with the ability to translate complex legal issues into practical business guidance.
  • Ability to operate with a high degree of autonomy, manage competing priorities, and exercise sound judgment with minimal supervision.
