Description

  • Own Marqeta’s quarterly and annual SEC reporting cycle, including 10-K, 10-Q, and 8-K filings.
  • Serve as primary author and coordinator of the annual proxy statement and related shareholder meeting materials.
  • Draft, review, and coordinate Form 8-K filings for material corporate events.
  • Oversee Section 16 reporting obligations for executive officers and directors, including Forms 4 and 144.
  • Support the Disclosure Committee by coordinating cross-functional review and certification processes.
  • Monitor SEC rulemaking, NYSE listing standards, and proxy advisory guidance that affect disclosure obligations.
  • Support the Board of Directors and its committees by preparing materials, minutes, action items, and governance records.
  • Administer insider trading compliance, including trading windows, pre-clearance requests, blackout periods, and insider designations.
  • Oversee Rule 10b5-1 plan adoptions, modifications, and terminations in compliance with SEC requirements.
  • Support corporate transactions, equity offerings, subsidiary governance, and other general corporate matters.

Requirements

  • J.D. degree and active membership in good standing in at least one U.S. state bar.
  • 10–15 years of legal experience with a substantial focus on public company securities, SEC disclosure, and corporate governance.
  • Hands-on experience drafting SEC filings, including proxy statements, 10-Ks, 10-Qs, and 8-Ks.
  • Experience supporting a public company board of directors and its committees.
  • Strong working knowledge of insider trading rules, Section 16 compliance, and equity compensation disclosure.
  • In-house experience at a public company in a corporate or securities function is required.
  • Top law firm experience is preferred.
  • Ability to operate independently, manage multiple time-sensitive workstreams, and escalate appropriately in a lean team environment.
  • Excellent written communication and precise legal drafting skills.
  • California or New York bar membership is preferred.
  • Experience at a FinTech, payments, or technology company is a nice to have.
  • Delaware corporate law depth, including charter, bylaws, fiduciary duties, and stockholder rights, is a nice to have.
  • Experience with ISS or Glass Lewis and annual shareholder meeting execution is a nice to have.
  • Experience with Diligent Boards or similar board portal platforms is a nice to have.

  • Base salary range of $239,200–$299,000 nationally, $250,000–$312,600 in Premium locations, and $261,000–$326,200 in Premium Plus locations.
