Description

  • Own first-line review and negotiation of standard commercial agreements, including NDAs, MSAs, DPAs, order forms, security addenda, reseller/distributor terms, and procurement redlines.
  • Establish a legal intake and prioritization process with clear approval thresholds by ARR and risk level across Sales, Finance, RevOps, and Security.
  • Build and maintain a practical contract playbook with clause library, fallback positions, and hard-no positions for use by Sales and Customer Success.
  • Remove legal as a bottleneck on standard and mid-complexity enterprise deals by improving turnaround and decision-making.
  • Develop commercial legal infrastructure to Series B/C maturity standards, including templates, self-serve tools, approval matrices, and redline standards.
  • Advise on and negotiate IP ownership, benchmarking, AI/ML restrictions, non-production vs. production use, and product development restrictions in customer agreements.
  • Collaborate directly with Sales, Finance, RevOps, Security, Product, and leadership on commercial and operational legal issues.
  • Assess whether additional legal operations or contract management support is needed as the function scales.
  • Work toward broader legal support across equity, corporate governance, employment, and fundraising matters as needed.

Requirements

  • 5–8+ years PQE, ideally with a mix of law firm and in-house SaaS experience.
  • Strong B2B SaaS or enterprise software contracting experience.
  • Experience negotiating customer paper, not only company paper.
  • Strong understanding of SaaS MSAs, DPAs, SLAs, security addenda, procurement terms, and marketplace/reseller/partner contracts.
  • Comfort working with US and international customers, mainly in Europe.
  • Practical knowledge of GDPR, privacy, data processing, security obligations, and subprocessors.
  • Strong commercial judgment with the ability to know when to push, accept, or escalate.
  • Ability to work directly with cross-functional teams including Sales, Finance, RevOps, Security, Product, and leadership.
  • Experience creating templates, playbooks, approval matrices, and self-serve legal processes.
  • Ability to identify and negotiate IP and product-use restrictions relevant to developer tooling.
  • Preferred: background in developer tools, infrastructure, cloud, DevOps, cybersecurity, or technical SaaS.
  • Preferred: experience with AWS Marketplace or other cloud marketplaces.
  • Preferred: experience with public sector or highly regulated customers.
  • Preferred: experience building legal playbooks from scratch.
  • Preferred: experience implementing CLM or quote-to-contract tooling.
  • Preferred: familiarity with US and EU legislation.
  • Preferred: exposure to equity, corporate governance, employment, and fundraising.
