Description

  • Support governance and compliance for international subsidiaries by partnering with local counsel and maintaining good standing with regulatory requirements.
  • Prepare and manage corporate documentation, including board resolutions, intercompany agreements, and powers of attorney.
  • Maintain and update legal entity structures and organizational records.
  • Assist with forming new legal entities and establishing operations across EMEA, APAC, and the Americas.
  • Manage changes to directors, officers, signing authorities, and registered offices.
  • Develop and execute step plans for global expansion initiatives.
  • Support M&A transactions, joint ventures, and entity integration or rationalization efforts.
  • Review, draft, and negotiate commercial agreements such as MSAs, SLAs, and SaaS contracts.
  • Advise on intellectual property, data rights, and U.S. and international regulatory compliance.
  • Identify legal risks, develop mitigation strategies, and support compliance across employment, tax, export controls, real estate, and insurance.

Requirements

  • J.D. from an ABA-accredited law school and active membership in at least one U.S. state bar.
  • 8+ years of relevant legal experience in law firm and/or in-house roles, with a strong focus on corporate governance and international subsidiary management.
  • Experience supporting global operations and navigating international compliance requirements.
  • Strong background in commercial contracting, including SaaS and technology agreements.
  • Excellent written and verbal communication skills with strong attention to detail.
  • Proven ability to manage multiple priorities independently in a fast-paced environment.
  • Sound judgment with the ability to identify risks and provide practical, business-focused solutions.
  • Collaborative mindset with a proactive, mission-oriented approach.
  • Experience in a high-growth or venture-backed company (preferred).
  • Background in the space, aerospace, or SaaS industries (preferred).
  • Experience with M&A transactions and post-deal integration (preferred).
  • Familiarity with international procurement laws and regulatory frameworks (preferred).
  • Experience managing intellectual property portfolios (preferred).
  • Knowledge of U.S. and international export controls, including EAR and ITAR (preferred).
