Description

  • Lead legal support for energy generation, storage, transmission, and power infrastructure projects throughout development, construction, operation, and compliance.
  • Advise on feasibility, site control, project companies, joint ventures, governance, and stage-gate decisions.
  • Draft and negotiate development, joint venture, MOU, term sheet, and formation documents.
  • Negotiate EPC and construction agreements covering schedules, performance, security, warranties, and risk allocation.
  • Structure early works, limited notices to proceed, equipment reservations, procurement agreements, and long-lead equipment protections.
  • Advise on permitting, environmental, utility, interconnection, transmission, ISO/RTO, and energy regulatory matters.
  • Draft and negotiate PPAs, capacity, tolling, offtake, gas, transportation, and O&M agreements.
  • Support equity, debt, tax equity, and other project financings, including lender rights and security arrangements.
  • Manage execution risks involving change orders, claims, delays, licensing, commissioning, disputes, and compliance.
  • Partner with cross-functional teams, manage external advisers, and develop repeatable legal processes, templates, and playbooks.

Requirements

  • JD from an ABA-accredited law school and admission in good standing to a state bar.
  • 10+ years of relevant legal experience, preferably including both law-firm and in-house work.
  • Experience advising energy or infrastructure projects from early development through operation.
  • Meaningful experience with EPC, equipment procurement, development, interconnection, energy supply, offtake, O&M, financing, and joint venture agreements.
  • Expertise in energy project development across generation, storage, transmission, substations, natural gas, utilities, data centers, or digital infrastructure.
  • Knowledge of project and structured finance, including equity, debt, tax equity, lender diligence, security packages, and remedies.
  • Experience with permitting and regulatory matters involving environmental, land use, utility, state commission, FERC, ISO/RTO, and local approvals.
  • Strong legal drafting, negotiation, project management, issue-spotting, judgment, and communication skills.
  • Ability to translate technical, commercial, financial, and regulatory issues into practical business advice.
  • Self-directed, collaborative, solutions-oriented approach with comfort operating amid urgency, ambiguity, and limited oversight; travel to Tract markets may be required.
