Description

  • Support cross-border M&A and corporate transactions involving technology and gambling businesses.
  • Conduct multi-jurisdictional legal due diligence and structure transactions considering corporate, regulatory, tax, and financial factors.
  • Coordinate merger clearances, licensing, regulatory approvals, and fiscal approvals with relevant authorities.
  • Provide legal support from transaction structuring through closing and post-closing activities.
  • Advise on entry into and operation within regulated gambling markets, identifying and mitigating regulatory risks.
  • Manage the lifecycle of group entities, including incorporations, annual compliance, reorganizations, internal approvals, and closures.
  • Prepare and maintain corporate documents such as board and shareholder resolutions, powers of attorney, UBO declarations, share transfers, and director appointments.
  • Maintain governance registers, KYC files, group structures, and signature authorities.
  • Coordinate with external administrators, company secretaries, regulated intermediaries, registered agents, and legal counsel.
  • Improve governance processes, internal approval workflows, and decision-tracking tools.

Requirements

  • Legal qualification in a civil or common law jurisdiction.
  • 4+ years of relevant experience in corporate law, M&A, corporate transactions, or legal entity management.
  • Strong experience supporting cross-border and multi-jurisdictional transactions.
  • Solid understanding of corporate governance, company law, and international structuring.
  • Practical experience with gambling law or regulatory matters in regulated gambling markets.
  • Experience working with regulators on licensing, approvals, or market-entry projects.
  • Experience managing legal entities and corporate actions across multiple jurisdictions, including through third-party providers.
  • Excellent English drafting, communication, and negotiation skills.
  • In-house experience in a multinational organization and experience with gambling or iGaming M&A are preferred.
  • Familiarity with beneficial ownership, KYC/AML, nominee, trust, fiduciary, tax, or financial structuring matters is preferred; additional languages are advantageous.
