Description

  • Prepare, review, and negotiate contracts, subcontracts, NDAs, and related legal documents for construction and infrastructure projects.
  • Ensure contract terms comply with Texas state law, federal regulations, and current industry practices.
  • Work with internal business units and key stakeholders to align contractual terms with project and deal requirements.
  • Assist in resolving contractual disputes through negotiation, mediation, or arbitration.
  • Develop, implement, and update internal contract management policies and procedures.
  • Coordinate negotiations and manage outside counsel engagement as needed.
  • Stay current on legal developments in Texas construction and infrastructure law.
  • Advise on risk management and provide risk assessments and mitigation strategies to business partners.
  • Support business-adjacent deals, special corporate projects, and timely execution of contractual obligations.
  • Handle legal matters involving PPAs, interconnection agreements, ERCOT compliance, grid interconnection, energy trading transactions, derivatives, hedging, and commodity contracts.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the Texas State Bar and in good standing.
  • 5-7 years of experience in construction law, with significant exposure to infrastructure projects and contract management.
  • Proven experience drafting, negotiating, and administering complex construction contracts.
  • Strong knowledge of Texas construction law and relevant federal regulations.
  • Strong relationships in the Texas legislative community.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to work independently in a fast-paced, dynamic environment and manage multiple priorities simultaneously.
  • Experience with both public and private sector construction projects (preferred).
  • Familiarity with risk management strategies and insurance matters related to construction projects (preferred).
  • Proficiency in legal research and contract management software (preferred).
  • Strong working knowledge of corporate law, labor and employment law, and procurement strategies.
  • Experience with power purchase agreements, interconnection agreements, ERCOT compliance, and physical electricity market regulations.
  • Experience with transmission, distribution, and grid interconnection projects.
  • Experience with energy trading transactions, derivatives, and hedging strategies.
  • Ability to work with a diverse workforce in a field operation.
