Description

  • Partner with the CEO, Board, Sales, Product, and People teams as the senior legal advisor to support business growth and decision-making.
  • Lead negotiations for high-stakes SaaS contracts, IP licensing agreements, and technology transactions.
  • Build and maintain contract playbooks, deal desk governance, and self-service legal tools to speed the sales cycle.
  • Support fundraising, acquisitions, strategic partnerships, and other corporate transactions.
  • Lead post-acquisition legal integration, including entity rationalization and intellectual property portfolio consolidation.
  • Serve as Corporate Secretary and primary liaison to the Board on governance, ethics, and fiduciary matters.
  • Prepare the company for future capital events such as fundraising rounds, IPO readiness, or strategic divestitures.
  • Advise the People Team on employee relations matters, executive compensation, performance management, and policy integration after acquisitions.
  • Oversee compliance across data privacy, cybersecurity, and industry-specific regulatory requirements.
  • Manage litigation and outside counsel relationships to control legal risk and legal spend.

Requirements

  • 15+ years of legal practice, with success as in-house counsel and/or at a top law firm.
  • Substantial experience as a General Counsel or senior legal leader in a high-growth SaaS or technology company.
  • Experience as General Counsel or Chief Legal Officer at a publicly traded company, preferably involving an IPO or direct listing.
  • Proven track record leading legal work streams through the full lifecycle of an acquisition and integration.
  • Strong ability to turn complex legal issues into streamlined, actionable advice for fast-paced commercial teams.
  • Deep familiarity with employment law and managing human capital during organizational change.
  • Experience supporting legal operations for a company with significant international operations, including coordination across multiple time zones and an Indian subsidiary.
  • J.D. with excellent academic credentials.
  • Active member in good standing of a state bar in a state where Arcadia does business.
  • Client-service orientation, strong judgment, uncompromising professional ethics, and ability to manage competing deadlines with minimal supervision.
  • Nice to have: Energy regulatory or utility experience.
  • Nice to have: Experience with high-growth, venture-funded SaaS startups.
  • Nice to have: Experience leading a globally distributed team operating in multiple countries.
  • Nice to have: Experience assessing risk with a flexible risk tolerance aligned to company objectives.
  • Nice to have: Experience leading legal due diligence and execution for mergers and acquisitions.
