Description

  • Draft, review, negotiate, and prepare for execution a wide range of commercial and outbound agreements, including vendor agreements, customer order contracts, SaaS agreements, alliance agreements, software development agreements, SOWs, NDAs, and engineering-related licenses.
  • Support global HR operations on legal and compliance matters, including GDPR, the EU AI Act, the Cyber Resiliency Act, and related obligations.
  • Assist with office-related and customer compliance matters, including employee policies, obligations, rights, reimbursements, facilities, and terminations.
  • Consult with internal stakeholders to develop business and legal terms for assigned programs.
  • Provide training and legal guidance on applicable laws and obligations to business teams.
  • Advise on EU, state, and federal regulations relevant to the business.
  • Improve and maintain agreement templates and contracting processes.
  • Support dispute resolution and mediation matters as needed.

Requirements

  • 5-7+ years of transactional experience in the software industry.
  • Experience drafting and negotiating standard and vendor order agreements, SaaS contracts, and software license contracts.
  • Fully licensed to practice law in a US state.
  • Experience or exposure in computer science or IP licensing preferred.
  • Experience in dispute resolution and mediation.
  • Experience negotiating contracts related to EU regulations, including DORA addenda.
  • Strong drafting experience with privacy-related documents such as DPAs and Transfer Impact Assessments.
  • Experience with marketing vendor contracts, such as trade show agreements and lead generation agreements.
  • Strong organizational skills and the ability to multi-task.
  • Professional, adaptable, and open to learning new areas of expertise.
