Description

  • Prepare and support filing of periodic and current reports, including Forms 10-K, 10-Q, 8-K, and related exhibits and schedules.
  • Coordinate EDGAR filings, manage reporting calendars, and track filing deadlines.
  • Draft and update disclosure support materials, checklists, and internal controls documentation.
  • Support follow-on offerings, at-the-market programs, debt financings, and secondary transactions, including coordinating document execution and closing logistics.
  • Assist with due diligence requests from underwriters, auditors, and regulators.
  • Administer equity plan tasks including tracking grants, vesting, exercises, settlements, and disclosures.
  • Support Section 16 compliance, including preparation and filing of Forms 3, 4, and 5, and partner with Finance/Stock Administration on equity disclosures.
  • Maintain corporate records, prepare board and committee materials, and manage governance documentation.
  • Interface with external counsel, auditors, and internal stakeholders across Legal, Finance, and Product.
  • Identify and implement process improvements and tooling to scale public-company infrastructure.

Requirements

  • Paralegal certificate or equivalent experience.
  • 4+ years of experience supporting capital markets, securities, or public-company matters (law firm and/or in-house).
  • Hands-on experience with SEC filings and EDGAR.
  • Strong organizational skills with the ability to manage multiple deadlines in a high-growth environment.
  • Exceptional attention to detail and sound judgment handling sensitive information.
  • Experience supporting a newly public company (preferred).
  • Familiarity with equity compensation administration and Section 16 compliance (preferred).
  • Experience with equity management platforms (e.g., Carta, Shareworks), disclosure management tools, and familiarity with Workiva (preferred).
  • Experience in fintech, financial services, or other highly regulated industries (preferred).
  • Authorized to work in the U.S. / open to US-based remote work.
