Description

  • Serve as principal legal advisor to the CEO, executive leadership, and Board of Directors on governance, compliance, risk, and major transactions.
  • Lead IPO readiness and public-company legal compliance, including securities filings, disclosure controls, SEC reporting, and proxy matters.
  • Oversee legal support for federal government contracting, including proposal development, negotiations, administration, disputes, investigations, claims, and bid protests.
  • Provide counsel on commercial transactions, UCC matters, risk management, and dispute resolution.
  • Lead legal support for the Board of Directors and committees, including governance processes, materials, minutes, resolutions, and director onboarding.
  • Oversee related-person transactions, conflicts governance, and stockholder-related legal matters.
  • Manage litigation, major investigations, and responses to government inquiries and enforcement actions.
  • Oversee intellectual property strategy, protection, enforcement, commercialization, and licensing in collaboration with leadership.
  • Provide legal guidance on export compliance, regulatory affairs, legislative affairs, employment law, and other enterprise legal needs.
  • Lead and develop the legal team and manage outside counsel and other external legal advisors.

Requirements

  • 15+ years of progressive legal experience, including significant leadership experience in a corporate legal department.
  • Prior experience with government contracts, including negotiation, compliance, and dispute resolution under FAR, DFARS, CAS, and related procurement regulations.
  • Experience as a Chief Legal Officer, General Counsel, or Deputy General Counsel strongly preferred.
  • Experience with a defense or national security contractor providing technical services, products, or systems is preferred.
  • Experience working with a Board of Directors and committees, including corporate governance and corporate secretary duties.
  • Juris Doctor degree from an accredited law school and active membership in good standing with a state bar.
  • Ability to obtain and maintain a Top Secret security clearance.
  • Experience advising organizations through significant growth, regulatory complexity, or major corporate transitions.
  • Strong organizational, business leadership, communication, and collaboration skills.
  • Ability to operate strategically and tactically in a fast-paced environment and travel periodically for key meetings.
