Description

  • Serve as principal legal advisor to the CEO, executive leadership, and the Board of Directors on governance, compliance, risk, and major transactions.
  • Lead IPO readiness and public-company compliance, including securities filings, SEC reporting, disclosure controls, and stockholder communications.
  • Oversee legal aspects of federal government contracting, including proposal support, negotiations, administration, disputes, claims, and bid protests.
  • Provide counsel on commercial transactions, UCC matters, risk management, and dispute resolution.
  • Lead legal support for the Board of Directors and committees, including governance processes, charters, materials, minutes, and resolutions.
  • Oversee related-person transactions, independence questionnaires, and conflict-governance processes.
  • Manage equity, insider trading, and stockholder matters, including equity plan administration, 10b5-1 plans, and Section 16 reporting.
  • Oversee litigation, major investigations, government inquiries, and enforcement actions, including management of outside counsel.
  • Support intellectual property strategy, protection, enforcement, commercialization, and recordkeeping.
  • Provide legal guidance on export compliance, regulatory affairs, legislative affairs, employment law, record retention, M&A, real estate, and environmental matters.
  • Lead and develop the legal team and coordinate with outside legal advisors.
  • Build and maintain relationships with internal stakeholders and external partners to support strategic decision-making.

Requirements

  • Minimum 15 years of progressive legal experience, including leadership in a corporate legal department.
  • Significant experience with government contracts, including FAR, DFARS, CAS, and related federal procurement laws.
  • Experience as a Chief Legal Officer, General Counsel, or Deputy General Counsel strongly preferred.
  • Experience with a business similar to STR, such as a defense or national security contractor.
  • Experience working with a board of directors and board committees, including corporate governance and corporate secretary duties.
  • Experience advising organizations through significant growth, increased regulatory complexity, or major corporate transitions.
  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with a state bar.
  • Ability to obtain and maintain a TOP SECRET security clearance.
  • Demonstrated organizational and business leadership capability.
  • Strong communication and collaboration skills.
  • Ability to operate strategically and tactically in a fast-paced environment.
  • Ability to travel periodically for key business meetings.
