Description

  • Manage project planning, rollout, and adoption of new AI-driven legal technology.
  • Collaborate on strategic legal operations projects and support process improvements across the legal function.
  • Coordinate with the stock plan administrator to gather equity plan data and support board and committee approvals, blackout periods, and insider ownership reporting.
  • Support the content development, formatting, and project management of proxy statements and SEC periodic reports, including 8-Ks, 10-Ks, and 10-Qs.
  • Prepare, distribute, and maintain Board and committee minutes, written consents, governance documents, and related templates.
  • Liaise with meeting services providers and proxy vendors to support annual shareholder meeting logistics.
  • Drive adoption of document organization and archiving tools and maintain a central repository of corporate documents.
  • Coordinate with other company functions to keep governance information current with key ratings agencies.
  • Maintain the annual corporate calendar, corporate legal standard operating procedures, and forms.
  • Communicate responsively and proactively with internal and external stakeholders at the direction of the Associate General Counsel.

Requirements

  • Bachelor’s degree.
  • Experience working closely with global senior executives and Board members.
  • Experience handling highly confidential information with discretion.
  • Advanced proficiency in Microsoft Excel and PowerPoint.
  • Advanced knowledge of Word, PowerPoint, PowerBI, Workiva, Diligent, and similar platforms.
  • Experience taking minutes and assisting with agenda preparation.
  • Extensive experience using board portal software to prepare and distribute questionnaires.
  • Strong attention to detail, reliability, and ability to learn new technology quickly.
  • Excellent organizational, written, verbal, and presentation skills.
  • Ability to manage multiple matters simultaneously, work under minimal supervision, and meet tight deadlines in a global, fast-paced environment.
  • Experience coordinating cross-functional and external stakeholders to drive timely outcomes.
  • Strong collaboration, problem-solving, and project management skills, with the ability to work autonomously and adapt to ambiguity.
  • Willingness to help lead the establishment and streamlining of corporate legal processes.
  • Ability to work in a role that may require quick pivots and precision execution.
  • Experience in continuous professional development is valued.
  • Employment visa sponsorship is not available at this time.
