Description

  • Lead corporate formation processes and related documentation, especially during the first 3-6 months.
  • Support senior partners on broader corporate and business law matters.
  • Assist with mergers and acquisitions, including due diligence and transaction documentation.
  • Manage, organize, and maintain corporate contracts and agreements.
  • Communicate directly with clients to gather information, provide updates, and respond to legal questions.
  • Prepare and review operating agreements, shareholder agreements, bylaws, and other corporate documents.
  • Support trademark searches, applications, registrations, and related intellectual property matters.
  • Conduct legal research and draft correspondence, memoranda, and other legal documents.

Requirements

  • Minimum of 3 years of experience in corporate and business law.
  • Experience with business entity formation, corporate governance, contract drafting and negotiation, business transactions, mergers and acquisitions, and general corporate counsel services.
  • Prior experience working with a US-based company or law firm is required.
  • Licensed attorney in good standing.
  • Strong analytical, legal research, drafting, and negotiation skills.
  • Excellent written and verbal communication skills.
  • Ability to manage client relationships professionally and provide practical legal advice and sound business judgment.
  • Self-motivated and able to work independently and collaboratively, managing matters from inception through completion.
  • Demonstrated career stability with meaningful tenure in previous roles.
  • Trademark registration, enforcement, and related intellectual property experience is preferred.
