Description

  • Advise on executive compensation and employee benefits in M&A, private equity transactions, IPOs, joint ventures, and restructurings.
  • Counsel founders, CEOs, senior executives, and boards on compensation matters.
  • Draft and negotiate executive employment and retention agreements.
  • Structure equity incentives, carried interest, deferred compensation, and other incentive arrangements.
  • Advise on change-in-control and termination protections.
  • Design performance-based compensation programs.
  • Provide strategic guidance on tax and ERISA considerations.
  • Support compensation aspects of complex and confidential corporate events.
  • Build client relationships and develop a specialty practice in executive compensation.

Requirements

  • 4–8 years of executive compensation and employee benefits experience.
  • Strong experience with transaction-related compensation matters.
  • Excellent technical knowledge of tax and ERISA aspects of executive compensation.
  • Ability to work independently in a fast-paced, high-level advisory environment.
  • Experience at an Am Law 50 firm or comparably sophisticated practice preferred.
  • Experience advising executives, boards, and corporate clients preferred.
